1. Eligibility: The Homegrown Humor Sweepstakes (the "Sweepstakes") is open to legal residents of the 50 United States and the District of Columbia who are 21 years of age or older at time of entry. Employees, officers, directors (and their immediate families and those living in their same household) of Showtime Networks Inc. ("Sponsor"), Marden-Kane, Inc. ("Administrator"), and their respective parent companies, subsidiaries, affiliates, retailers, distributors, suppliers, advertising, promotion and production agencies are not eligible to participate or win. Void in Puerto Rico and where prohibited. The sweepstakes is subject to all applicable federal, state and local laws and regulations.

2. How to Enter: The Sweepstakes begins at 10:00 am, Eastern Time (ET) on July 16, 2007 and ends at 12:00 NOON ET on October 31, 2007 (the "Promotion Period".) To enter this Sweepstakes (either with or without submitting or rating and/or voting for a contest video entry in the Homegrown Humor Contest), go to www.sho.com/homegrown, follow the onscreen instructions to complete the official entry form, and click to submit. Limit of one entry per person during the promotion period. The Sponsor, Administrator, and any Internet access providers, their respective parents, affiliates, divisions, and agencies and each of the foregoing entities' respective employees, officers, directors, shareholders, and agents (the "Released Parties") are not responsible for incorrect or inaccurate transfer of entry information, human error, technical malfunctions, lost/delayed data transmissions, omission, interruption, deletion, defect, line failures of any telephone network, computer equipment, or software or any combination thereof, inability to access web sites, damage to a user's computer system (hardware and software) due to participation in this Sweepstakes or any other problem or error that may occur, or for late, lost, incomplete, stolen, misdirected, mechanically reproduced, illegible, or incorrectly entered entries. Participants who submit inaccurate entry data and/or exceed the entry limits may be excluded from participation at any time during the promotion. All entries become the property of the Sponsor. Any entry information collected from the sweepstakes shall be used only in a manner consistent with the consent given by entrants at the time of entry, with these Official Rules, and with Sponsor's Online Privacy Policy which can be found at www.sho.com/site/util/privacy.do. Showtime has contracted Marden-Kane, an independent third party sweepstakes administrator. The entry information is shared with Marden-Kane for the sole purpose of the selection, notification, and the fulfillment of the Grand Prize. Entrants agree to be bound by these rules and consent to use of their names and/or photographs for advertising or publicity purposes by Sponsor and its designees in any and all media without further consideration, except where prohibited by law.

3. Prize Drawing. A random drawing to select the potential Grand Prize winner from among all eligible entries received will be conducted on or about November 7, 2007. Drawing will be conducted by Marden-Kane Inc., an independent judging organization whose decisions are final and binding on all matters relating to this Sweepstakes. Potential winner is subject to eligibility verification and compliance with these official rules. Marden-Kane will notify potential winner by regular mail within seven (7) days of the prize drawing. Potential winner will be required to sign, have notarized and return to Marden-Kane an affidavit of eligibility/release of liability, and, where legal, a publicity release within fourteen (14) days of issuance of notification. Failure to complete and return the documents in the time noted or if prize notification is undeliverable will result in disqualification and an alternate winner will be selected and notified. Grand Prize winner must be 21 years of age or older. Travel companion of Grand Prize winner must also be 21 years of age or older (unless travel companion is the child of the Grand Prize winner). Grand Prize winner's travel companion (parent/guardian, if travel companion is a minor) must sign and return a consent to publicity (where legal), liability waiver, and travel release form prior to traveling. Acceptance of the prize constitutes permission for the Sponsor and its designees to use winner and travel companion's names and likenesses for advertising and promotional purposes without additional compensation unless prohibited by law. Odds of winning prize are subject to the total number of eligible entries received.

All drawings will be conducted by Marden-Kane, Inc. (Administrator), an independent judging organization whose decisions on all matters pertaining to the Sweepstakes are final. All prizes will be awarded. Odds of winning depend on the total number of eligible entries received. Potential Winners are subject to eligibility verification and compliance with these official rules. Marden-Kane will notify Potential Grand Prize Winner by phone, email, and/or mail within 24 (twenty-four) hours of the Grand Prize drawing. Potential Grand Prize Winner will be required to sign, have notarized and return to Marden-Kane an affidavit of eligibility/release of liability, and, where legal, a publicity release via fax within 24 hours of issuance and via overnight mail within 2 (two) business days of issuance of notification. Potential First Prize Winner will be required to sign, have notarized and return to Marden-Kane an affidavit of eligibility/release of liability, and, where legal, a publicity release within 14 days of issuance of notification. Failure to complete and return the documents in the time noted or if prize notification is undeliverable will result in disqualification and an alternate winner(s) will be selected and notified. Grand Prize Winner must be 21 years of age or older. Travel companions of Grand Prize Winner must also be 21 years of age or older or the child/children of the Grand Prize Winner. Grand Prize Winner's travel companions, or the parent or legal guardian if companion(s) are minors, must sign a consent to publicity (where legal), liability waiver and travel release form prior to traveling. Acceptance of the prize constitutes permission for the Sponsor and its designees to use winner and travel companions' names and likenesses for advertising and promotional purposes without additional compensation unless prohibited by law. Second Prize Winners will receive their prize by regular mail.

4. Prize: One (1) Grand Prize will be awarded: A trip to Los Angeles, CA which includes round-trip coach air transportation for two from Sponsor's choice of major airport nearest winner's home within the 50 U.S. and D.C. to the nearest major airport in Los Angeles, CA, a 3-day/2-night standard double occupancy hotel stay at the W West Hollywood, spa treatments at Bliss Spa including a blissage™ 75 massage and the bliss basic facial™, a 3-day car rental, a $2,000 American Express gift card, and an aerial helicopter tour of Los Angeles/Hollywood landmarks and famous celebrity homes. Approximate Retail Value (ARV): $6,300. Actual value of Grand Prize trip may vary based on Grand Prize winner's point of departure and arrival, dates of travel, and air fares at time of booking. All taxes and other expenses relating to acceptance of Grand Prize (including, but not limited to, meals, gratuities, in-room charges, telephone calls, and incidentals) are responsibility of Grand Prize winner and guest. In the event the closest airport to the Grand Prize Winner's home is within the Los Angeles metropolitan area, prize will not include air transportation from Grand Prize Winner's residence to Los Angeles and no other substitution or compensation will be provided in lieu thereof. Any tickets awarded are subject to terms and conditions stated on tickets. Travel and hotel are subject to availability and confirmation of reservations. Travel arrangements must be made through Sponsor's agent on a carrier of Sponsor's choice. Grand Prize winner and guest must travel on the same itinerary and provide travel documents suitable for travel (e.g. acceptable photo ID, passport, visa, etc.). Travel dates are subject to change by the Sponsor. Grand Prize winner will be notified of actual travel dates. The trip may not be combined with any other offer and travel may not qualify for frequent flier miles. Certain blackout dates, travel restrictions, conditions and limitations may apply. Trip must be completed within one (1) year of award or prize will be forfeited and awarded to an alternate winner. All details of prize not specified herein shall be determined solely by Sponsor. No prize substitution or transfer of prize permitted except at the sole discretion of the Sponsor due to prize unavailability.

5. Limitations of Liability: Each participant agrees (i) to abide by the terms of these Official Rules and the decisions of the Sponsor and judges which are final and binding on all matters relating to this Sweepstakes, and (ii) to release, discharge, indemnify and hold harmless the Released Parties from any & all claims, actions, and/or liability for any injuries, loss or damage of any kind arising from or in connection with participation in and/or for entry into this Sweepstakes, any related activities, or acceptance or use of any prize won.

6. General Conditions: If for any reason this Sweepstakes is not capable of running as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, the Sponsor reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Sweepstakes. Should this Sweepstakes be terminated, Sponsor reserves the right to select potential winner in a random drawing from among all eligible, non-suspect entries received as of the action requiring such termination. Released Parties are not responsible for any problems or technical malfunction of any computer system, server, or service providers, computer equipment, software, failure of any entry to be received by Sponsor on account of technical problems, human error or any combination thereof, including any injury or damage to participant's or any other person's computer equipment relating to or resulting from participation in this sweepstakes. In the event of a dispute as to who submitted an online entry, the entry will be deemed submitted by the authorized account holder of the email address submitted at the time of entry. "Authorized account holder" is defined as the person assigned to an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the email address in question. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

Winners List: For the name of the Grand Prize winner, available after November 30, 2007, go to www.sho.com/homegrown or send a stamped, self-addressed envelope to Homegrown Humor Sweeps Winner, c/o Marden-Kane, Dept. KB, 36 Maple Place, Manhasset, NY 11030. Winner's name will be posted online until December 31, 2007. Mail-in requests received after January 31, 2008 will not be honored.
