HOW TO ENTER:The Sweepstakes begins at 12:00 PM, NOON, Eastern Time (ET) March 20, 2006 and ends 12:00 PM, NOON, ET, on May 1, 2006 (the "Promotion Period".) To enter, go to sho.com/americanexpress, complete the official entry form for the Sweepstakes, and click to submit. Limit of one entry per person per day. The Sponsor, American Express, Administrator, and any Internet access providers, their respective parents, affiliates, divisions, and agencies and each of the foregoing entities' respective employees, officers, directors, shareholders, and agents (the "Released Parties") are not responsible for incorrect or inaccurate transfer of entry information, human error, technical malfunctions, lost/delayed data transmissions, omission, interruption, deletion, defect, line failures of any telephone network, computer equipment, software or any combination thereof, inability to access web sites, damage to a user's computer system (hardware and software) due to participation in this Sweepstakes or any other problem or error that may occur. No responsibility is assumed for entrant information that is incomplete or incorrectly entered. All entries become the property of the Sponsor. Participants who submit inaccurate entry data and/or exceed the entry limits may be excluded from participation at any time during the promotion. Entrants agree to be bound by these rules and consent to use of their names and/or photographs for advertising or publicity purposes by Sponsor and its designees in any and all media without further consideration, except where prohibited by law.

PRIZE DRAWING:A random drawing to select the potential Grand Prize winner from among all eligible entries will be conducted on or about May 8, 2006. Drawing will be conducted by Marden-Kane Inc., an independent judging organization whose decisions are final and binding on all matters relating to this Sweepstakes. Potential winner is subject to eligibility verification and compliance with these official rules. Marden-Kane will notify potential winner by regular mail within seven (7) days of the prize drawing. Potential winner will be required to sign, have notarized and return to Marden-Kane an affidavit of eligibility/release of liability, and, where legal, publicity release within fourteen (14) days of issuance of notification. Failure to complete and return the documents in the time noted or if prize notification is undeliverable will result in disqualification and an alternate winner will be selected and notified. Odds of winning the Grand Prize are subject to the total number of eligible entries received.

PRIZE:One (1) Grand Prize winner will receive a walk-on role on a future episode of "Huff" along with a trip for two to the "Huff" production city of Los Angeles, CA which includes round-trip coach air transportation for winner and one guest from a single major U.S. airport closest to the winner's home, double occupancy standard hotel accommodations for 4 nights/5 days, and a spa treatment for winner and guest. Prize does not include any transportation to or from a qualifying airport. Approximate retail value of prize is $3,500. Travel arrangements must be made through Sponsor's agent on a carrier and in a hotel of Sponsor's choice. Winner and guest must travel on the same itinerary and provide travel documents suitable for travel. All other expenses relating to acceptance of Grand Prize not explicitly stated herein, including but not limited to taxes, meals, beverages, alcoholic beverages and gratuities are responsibility of Grand Prize winner and guest. Actual value of prize may vary based on winner's point of departure and arrival, dates of travel, and air fares at time of booking. Selection of trip destination and trip date is at the sole discretion of Sponsor and producer's production schedules. The anticipated production schedule for the taping of "Huff" is tentatively planned for the Fall of 2007. If a "Huff" walk-on role is not available for any reason, a walk-on role on another Showtime series will be substituted along with travel to the production city of the substituted series which may or may not be located in the United States. Winner will receive less than 30 days notice prior to trip departure. If, for any reason, the Grand Prize winner cannot take the trip to Los Angeles (or to the substituted city) on a date specified by the Sponsor or if the walk-on role (or the substitute walk-on role) is not available for any reason, the Sponsor shall have no further obligation to the Grand Prize winner other than to provide the $3,500 cash value of the prize. Complete terms and conditions of Grand Prize trip will be furnished with prize notification. Certain travel restrictions and blackout dates may apply. Travel companion of trip winner must be 21 years of age or older or the child of the Grand Prize winner. Winner's travel companion, or the parent or legal guardian if companion is a minor, will be required to sign, have notarized and return to Marden-Kane in the time noted a release of liability, and where legal a publicity release (unless prohibited by law) prior to issuance of travel documents. Prize is non-transferable; no substitution allowed except at the sole discretion of the Sponsor. Only the winner will take part in the walk-on role. Sponsor does not guarantee that winner's filmed scenes will appear on the final aired program. All details of prize not specified herein shall be determined solely by Sponsor.

LIMITATIONS OF LIABILITY:Each participant agrees (i) to abide by the terms of these Official Rules and the decisions of the Sponsor and judges which are final and binding on all matters relating to this Sweepstakes, and (ii) to release, discharge, indemnify and hold harmless the Released Parties from any and all claims, actions, and/or liability for any injuries, loss or damage of any kind arising from or in connection with participation in and/or for entry into this Sweepstakes, any related activities, or acceptance or use of any prize won.

GENERAL CONDITIONS:If for any reason this Sweepstakes is not capable of running as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, the Sponsor reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Sweepstakes. Should this Sweepstakes be terminated, Sponsor reserves the right to select potential winner in a random drawing from among all eligible, non-suspect entries received as of the action requiring such termination. Released Parties are not responsible for any problems or technical malfunction of any computer system, server, or service providers, computer equipment, software, failure of any entry to be received by Sponsor on account of technical problems, human error or any combination thereof, including any injury or damage to participant's or any other person's computer equipment relating to or resulting from participation in this sweepstakes. In the event of a dispute as to who submitted an online entry, the entry will be deemed submitted by the authorized account holder of the email address submitted at the time of entry. "Authorized account holder" is defined as the person assigned to an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the email address in question. In the event of a dispute as to who submitted a particular cardholder entry, such entry will be deemed to be submitted by the primary person in whose name the card was issued.
