1. Eligibility: The L Word Lipstick Naming Contest ("Contest") is open and offered only to legal residents of the 50 United States and District of Columbia who are 18 years of age or older (or 19 or older for residents of AL and NE) as of December 18, 2008. You may not participate in this Contest if you are under contract with any third party which might interfere with your ability to enter into agreements with any of the Promotion Party (as defined herein) or their designees, as determined by the Sponsor, in its sole and absolute discretion. Employees and directors of Showtime Networks Inc. ("Sponsor") Three Custom Color (Promotion Party) and their respective parent companies, subsidiaries and affiliated companies, advertising, promotion or production agencies, and their immediate family members or individuals residing in their same household, are not eligible to participate or enter. Void where prohibited.
2. How to Enter: Beginning 12:00:01 a.m. Eastern Standard Time ("EST") on December 18, 2008 and ending at 12:00:00 p.m. EST on December 30, 2008 ("Contest Period"), visit www.lwordlipstick.com ("Web Site") and submit a name for one (1), two (2), three (3) and/or four (4) lipstick colors that have been inspired by four (4) characters from The L Word series on Showtime ("Submission"). Along with your Submission, you must also complete the online entry form by providing your complete name, street address (no P.O. Boxes), city, state, zip code, gender, date of birth (mm/dd/yyyy), and email address. Submissions that contain names that are deemed to be lewd or profane may be disqualified, as determined solely by Sponsor. Submissions must be received by 12:00:00 p.m. EST December 30, 2008 to be entered into the Contest. Submissions may be available for viewing on the Web Site during the Contest Period. By entering, all Submissions become the property of Sponsor and will not be acknowledged or returned. By submitting a Submission, each entrant warrants that it is an original Submission created by the entrant. By submitting a Submission, each entrant grants Sponsor the perpetual, unlimited and irrevocable right to post, publish and/or otherwise use the Submission in any manner and in any media now known or hereafter developed. Entrants understand that the winning Submissions will be used on actual lipsticks that will be sold to the general public. 3. Winner Selection - Judging Criteria: (A) Finalist Judging: Submissions will be judged by a panel of qualified judges, whose decisions are final and binding on all matters related to this Contest, from December 30, 2008 through January 3, 2009. The judging for the Submissions will be based on the following judging criteria and percentages: (a) originality/creativity (50%); (b) adherence to subject (25%); and (c) marketability (25%). The top twenty (20) highest scoring Submissions for each of the four (4) lipstick shades will be deemed the Finalist Submissions. In the event of a tie, the Submission with the highest score in the originality/creativity criteria from among the tying Submissions will be deemed the Finalist. Potential winner will be notified by telephone, email or mail. (B) Grand Prize Judging: Finalist Submissions for each of the four (4) lipstick shades will be judged by a panel of qualified members from the boutique lipstick manufacturer and/or Sponsor, whose decisions are final and binding on all matters related to this Contest, from January 3, 2009 through January 7, 2009. The judging for the Finalist Submissions will be based on the following judging criteria and percentages: (a) originality/creativity (50%); (b) adherence to subject (25%); and (c) marketability (25%). The highest scoring Finalist Submission for each of the four (4) lipstick shades will be deemed the Grand Prize Winners. In the event of a tie, the Finalist Submission with the highest score in the originality/creativity criteria from among the tying Submissions will be deemed the Grand Prize Winner for that lipstick shade. Potential Grand Prize Winners will be notified by email/mail/telephone or by an on-air announcement on or about January 18, 2009. 4. Prizes & Approximate Retail Value ("ARV"): (4) Grand Prizes (One (1) Grand Prize will be awarded to one (1) winner for each lipstick shade): Lipstick Manufacturer will use the Grand Prize winning name Submission at retail to be sold to the general public world-wide, one (1) set of seasons 1-5 of The L Word on DVD, one (1) Sponsor-specified board game, one (1) Sponsor-specified perfume, one (1) SCAD I Heart Girls tank. ARV: $322.00 [each]. Prize consists of only those items specifically listed as part of the prize. Sponsor reserves the right to not award any or all prizes if, in its sole discretion, it does not receive a sufficient number of eligible and qualified entries. Prizes are not transferable or redeemable for cash. No substitution, transfer or cash equivalent of a prize by the Contest Winner or Semi-Finalist is permitted except at the sole discretion of the Sponsor, who reserves the right to substitute a prize (or portion thereof) of comparable or greater value. All applicable federal, state, local or other taxes, including but not limited to income and withholding taxes (except excise taxes if any), are the sole responsibility of winners. 5. RELEASE AND LIMITATIONS ON LIABILITY: By entering the Contest, each entrant affirms that he/she has read, accepted and agreed to be bound by these Official Rules. You agree to be bound by these Official Rules and Sponsor's and judges' decisions, which are final and binding in all respects, and to waive any right to claim ambiguity in the Contest or these Official Rules. The Sponsor, the Promotion Party and its respective officers, directors, shareholders, employees and agents, and any and all Internet servers and access provider(s) (collectively, the "Releasees" ) are not responsible for: any incorrect or inaccurate entry information; human errors; technical malfunctions; failures, omissions, interruptions, deletions or defects of any telephone network, computer online systems, computer equipment, servers, providers, or software, including without limitation any injury or damage to participant's or any other person's computer relating to or resulting from participation in the Contest; inability to access any website (including the Entry Site); inability to upload entry material; theft, tampering, destruction, or unauthorized access to, or alteration of, entries; data that is processed late or incorrectly or is incomplete or lost due to telephone, computer or electronic malfunction or traffic congestion on telephone lines or the Internet or any website (including the Entry Site) or for any other reason whatsoever; typographical, printing, human or other errors relating to or in connection with the Contest, including, without limitation, errors which may occur in connection with the Administrator of the Contest and/or the Entry Site, the processing or judging of entries, the announcement of the winners or in any Contest-related materials. Proof of submitting an entry is not considered proof of delivery or receipt. Illegible and incomplete entries will be disqualified. All entries become the property of the Sponsor and will not be returned or acknowledged. False and/or deceptive entries or acts shall render entrants ineligible and their entries will be void. Sponsor assumes no responsibility for undeliverable e-mails resulting from any form of active or passive e-mail filtering by a user's Internet service provider and/or insufficient space in user's e-mail account to receive e-mail. Sponsor reserves the right to cancel or modify the Contest (or any portion thereof) if fraud, misconduct or technical failures destroy the integrity of the Contest or if a computer virus, bug, or other technical problem corrupts the administration, security, or proper administration of the Contest as determined by Sponsor/judging agency, in their sole discretion. If the Contest is so cancelled, judging will be conducted from among all eligible online Submissions received prior to the time of termination. In the event a dispute arises regarding specific individual entitled to receive prize, entry made by Internet will be declared made by the "authorized e-mail account holder" and any damage made to the Web site will also be the responsibility of the authorized e-mail account holder of the e-mail address submitted at the time of entry. "Authorized e-mail account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Entrant may be requested to provide Sponsor with proof that the entrant is the authorized e-mail account holder of the e-mail address associated with the account/submission. Proof of submitting Submissions/entries will not be deemed to be proof of receipt by Sponsor. Any use of robotic, automatic, programmed or the like methods of participation will void all Submissions by such methods. Sponsor reserves the right to prohibit the participation of an individual if fraud or tampering is suspected, or if the individual fails to comply with any requirement of participation as stated herein or with any provision in these Official Rules. INTERNET CAUTION: ANY ATTEMPT BY AN INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW. No substitution, cash redemption or transfer of prize by winner permitted. You further agree to release, forever discharge, indemnify and hold harmless, and covenant not to sue, the Releasees (as defined below) from and against any claims, damages, expenses or liability arising from or related to any injuries, damages or losses (collectively, "Loss") to any person (including death) or property of any kind resulting in whole or in part, directly or indirectly, from your participation or inability to participate in this Contest, including, without limitation, your breach of any terms or representations contained in these Official Rules (and where applicable, the Contest Entry Release Form terms) or the use by the Releasees of any of the rights granted by you or your acceptance of or use or inability to use the Prize (including any injury or harm resulting from use or enjoyment of the Prize or elements thereof, whether under a theory of contract, tort (including negligence), warranty or other theory. 6. General Rules: The Contest is subject to all applicable federal, state and local laws and regulations. Sponsor reserves the right to substitute prize of equal or greater value. If Grand Prize winner is deemed a minor in the state of his/her residence, prize may be awarded in the name of his/her parent or legal guardian. Entrants, by participating in this Contest, hereby waive and release, and agree to hold harmless the Sponsor, its subsidiaries, affiliates, distributors, licensors, advertising and promotion agencies and all of their respective officers, directors, employees and representatives and agents, from and against, any and all rights, claims and causes of action whatsoever that they may have, or which may arise, against any of them for any liability for any matter, cause or thing whatsoever, including but not limited to any injury, loss, damage, whether direct, compensatory, incidental or consequential, to person, including death, and /or property, arising in whole or in part, directly or indirectly, from their acceptance, possession, use or misuse of any prize, or their participation in this Contest, or any prize-related activity. Except where prohibited by law, by participating in this Contest, winners agree that Sponsor, and its related and affiliated companies may use the winner's name, address (city, state), photograph, videotape, likeness, and/or prize information for advertising, publicity and promotional purposes and to the use of statements made by or attributed to winner relating to Sponsor, and its related and affiliated companies or to this Contest and grants to Sponsor, and its related and affiliated companies any and all rights to said use without further notice and/or compensation except where prohibited by law. 6.
