WALK OF SHAMELESS COMPETITION
Official Rules

The Walk of Shameless Competition ("Competition") is a live, physical competition where eligible teams comprised of three individuals per team will compete to raise money for charities and win money by being the last team standing. The Walk of Shameless Competition will be held on January 18-22, 2012 in New York, NY.

  1. Competition Period/Sponsor: The period for entry for selection into the "Walk of Shameless Competition" ("Competition for Entry") will begin at 12:00:01 PM Eastern Time ("ET") on December 12, 2011 and end at 11:59:59 AM ET on December 30, 2011 (the "Competition Entry Period"). The Walk of Shameless Competition event will take place over five days on Wednesday January 18, 2012 through Sunday January 22, 2012, during which team members will take turns walking on treadmills non-stop for twelve hours a day from 8:00 AM to 8:00 PM ("Walk of Shameless Competition Event"). The Competition for Entry and the Walk of Shameless Competition Event are sometimes collectively referred to herein as the "Competition". Sponsor: Showtime Networks Inc., 1633 Broadway, New York, NY 10019. Administrator of Competition: Pop2Life, LLC, 247 Centre Street, 6th FL, New York, NY 10013. Sponsor and Administrator of Competition are sometimes collectively referred to herein as the "Competition Entities".
  2. Eligibility: Competition is open to legal residents of the 50 United States and District of Columbia, who are 21 years of age or older at time of entry. Employees of Warner Bros. Entertainment Inc., Sponsor, Administrator and their respective parent and subsidiary companies, as well as anyone involved in the development, administration, fulfillment and execution of the Competition and the immediate family members (spouse, domestic partner, parent, child, sibling) or those living in the same household of each are not eligible to enter or win.
  3. How to Enter To Compete In The Walk of Shameless Competition Event: To enter for selection to compete in the Walk of Shameless Competition Event you must enter as a three person team ("Team") by going to www.walkofshameless.com and clicking on the Competition icon and completing the Competition Entry Form, accepting the Official Rules and submitting an essay in 500 characters or less ("Essay") of why you and your teammates are fans of SHAMELESS and why your Team should be chosen for the Walk of Shameless Competition Event (the Essay and Competition Entry Form together are an "Entry(ies)"). Entries must be received by 11:59:59 AM ET on December 30, 2011. The individual submitting the Competition Entry Form will enter on behalf of him or herself and his or her team members and all three individuals will be collectively deemed a "Team Entrant". Incomplete, unreadable, unintelligible or otherwise non-compliant Entries will be disqualified. Entries will not be acknowledged or returned. Proof of submission of an Entry does not constitute proof of receipt by Sponsor. Only one Entry per Team permitted and duplicate Entries with individuals entering for different Teams will not be permitted.
  4. Requirements for Entry: Team Entrants represent and warrant that the Essay, and all elements thereof, are original to the Team and is not copied from any other work (unless said work is in the public domain) and does not infringe upon the rights of any third party. Team Entrants must be available to participate at the Walk of Shameless Competition Event in New York, NY from 8 AM ET through 8 PM ET on January 18, 2012 through Sunday January 22, 2012. Once a Team is chosen for the Walk of Shameless Competition Event, each Team member must submit to the Administrator a primary care physician's written permission evidencing such Team member's fitness and ability to participate in the Walk of Shameless Competition Event ("Health Form").
  5. Ownership/Use of Entries: Team Entrants retain ownership of the Essays they submit, however, by entering, Team Entrants waive all moral rights in the Essay and grant Competition Entities the perpetual, fully-paid, irrevocable, non-exclusive license to reproduce, prepare derivate works of, distribute, display, exhibit, transmit, broadcast, televise, digitize, otherwise use, and permit others to use the Essay in any manner, for any purpose, including, but not limited to, advertising or promotion of Competition Entities and the Competition, all without further consent from or payment to Team entrant or any third party. In the event of any dispute or potential dispute regarding the Entry or Team entrant or if Sponsor has reasonable grounds for suspecting any breach or abuse of these Official Rules by any person involved in an Entry, the Entry or Team may be disqualified in Sponsor's sole discretion.
  6. Winner Selection: All Entries will be judged as follows:

    Initial Judging of Entries: All submitted Essays will be judged by Sponsor based on the following judging criteria: (1) originality, (2) creativity, and (3) entertainment value (collectively "Judging Criteria"). In the event of a tie, the tying Entries will be determined on the highest score received for "entertainment value". In the event of a further tie, the tying Entries will be re-judged based upon the Judging Criteria. The top seven (7) Entries with the highest scores will compete in the Walk the Shameless Competition Event ("Competing Teams").

    Requirements for Competing Teams: Each member of each potential top seven Competing Teams will be required to individually execute a declaration of eligibility, liability release, and publicity and performance release (collectively, "Release") in addition to the Health Form as a condition to the potential Competing Teams' competing in the Walk of Shameless Competition Event. The Sponsor will notify the potential Competing Teams on or about January 2, 2012, by e-mail and/or phone, that they are potentially eligible and should print the required documents and mail to Sponsor by following the instructions provided. If a member of a potential Competing Team does not respond to the notification within three (3) days of receipt and/or if any members of the potential Competing Team do not provide the required documentation within seven (7) days after notification, or if an Entry or Competing Team member is found to be ineligible for any reason (including without limitation failing to timely attend any session of the Walk of Shameless Competition Event, for any reason), then the potential Competing Team will be disqualified and either a runner up Competing Team will be selected or Sponsor shall only allow for the number of Competing Teams that have followed the requirements of the Official Rules, due to timing constraints, or otherwise, as determined in Sponsor's sole discretion.

    Walk of Shameless Competition Event: All Competing Teams will participate in the Walk of Shameless Competition Event which will require that team members take turns walking on treadmills non-stop for twelve hours a day for up to five days, subject to the rules of the Event to be distributed to the Competing Teams prior the Event. The last Competing Team left walking will be the Winning Team. In the event more than one Competing Team is left standing at the end of the Event, the Competing Team who has received the most text messages in support of their Team will be declared the Winning Team. In the event of a further tie due to the identical number of supporting text messages, the Competing Team who first received the text message that caused the tie will be declared the Winning Team. The Sponsor's decisions will be solely determinative and final in all matters regarding this Competition. Sponsor will provide one (1) standard hotel room in New York City per Competing Team for six (6) nights, check-in Tuesday January 17, 2012, and check-out Monday January 23, 2012. Sponsor will also provide three (3) meals per day for all team members during the competition hours of 8am-8pm.
  7. Prizes: One Winning Team will win fifty thousand dollars ($50,000) to be divided equally among the three team members. All federal, state, and local taxes, if any, are the sole responsibility of the individual Team members. Sponsor will issue and file an IRS form 1099 in the name of each Team member for the value of the prize awarded. Prize is non-transferable. Each Team will also choose a recognized 501c3 charity to support during the Walk of Shameless Competition Event. The one Winning Team will also receive ten thousand dollars ($10,000) to be donated to the recognized 501c3 charity they were representing. In addition, Sponsor will donate One Dollar ($1.00) to such recognized 501c3 charity, per each minute that each Team walks on the treadmills during the Walk of Shameless Competition Event.
  8. General Conditions: By participating, Team Entrants (a) agree to be bound by these Official Rules and the decisions of the Sponsor and the judges which shall be final in all respects, (b) agree that any dispute arising under this Competition will be governed by, and construed in accordance with, the laws of the State of New York without giving effect to any choice of law or conflict of law rules, (c) consent to the jurisdiction and venue of the federal, state, and local courts located in New York, New York, and (d) hereby release the Competition Entities, and their respective officers, directors, agents, representatives and employees, and those individuals' respective successors, representatives and assigns (collectively, the "Released Parties") from any and all actions, claims, injury, loss or damage arising in any manner, directly or indirectly, from or in connection with participation in this Competition and/or acceptance or use of any awarded prize. Entrants agree to indemnify and hold the Released Parties harmless from and against any claims arising out of a breach by Entrant of any of the representations and warranties contained in these Official Rules. The Released Parties shall not be liable for: (i) late, lost, delayed, stolen, misdirected, incomplete, unreadable, inaccurate, garbled or unintelligible entries, communications or documents, regardless of the method of transmission; (ii) telephone system, telephone or computer hardware, software or other technical or computer malfunctions, lost connections, disconnections, delays, inability to upload or download or transmission errors; (iii) data corruption, theft, destruction, unauthorized access to or alteration of entry or other materials; (iv) any injuries (including death), losses or damages of any kind caused by participation in the Walk of Shameless Competition Event, or resulting from the acceptance, possession or use or misuse of such prize, or from general participation in the Competition; or (v) any printing, human typographical, administrative or technological errors in any materials associated with the Competition. Sponsor disclaims any liability for damage to any computer system resulting from participating in, or accessing or downloading information in connection with this Competition, and reserves the right, in its sole discretion, to cancel, modify or suspend the Competition should anything arise which could corrupt the administration or security of the Competition. Sponsor shall not be responsible if the Competition cannot be implemented or if a prize cannot be awarded due to delays or interruptions due to acts of God, acts of war, strikes, governmental action, natural disasters, weather or acts of terrorism. Any and all disputes, claims, and causes of action arising out of or in connection with this Competition, shall be resolved individually, without resort to any form of class action. ANY CLAIMS, JUDGMENTS AND/OR AWARDS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS ASSOCIATED WITH ENTERING THIS COMPETITION. TEAM ENTRANTs HEREBY WAIVE ANY RIGHTS OR CLAIMS TO ATTORNEY'S/LEGAL FEES, INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF TEAM ENTRANTS, WHETHER FORESEEABLE OR NOT AND WHETHER BASED ON NEGLIGENCE OR OTHERWISE. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE COMPETITION WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE COMPETITION MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND WILL RESULT IN DISQUALIFICATION FROM PARTICIPATION IN THE COMPETITION. SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY/LEGAL FEES) TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.
  9. Privacy Policy: Sponsor will be collecting personal data about Team Entrants online, in accordance with its privacy policy. Please review the Sponsor's privacy policy posted on www.walkofshameless.com.
  10. Winners List: For a copy of the official rules or the names of the Winning Team members (available after January 22, 2012), mail a self-addressed, stamped envelope to: Pop2Life, LLC, Walk of Shameless Competition, 247 Centre Street, 6th FL, New York, New York 10013. (VT residents may omit return postage from Official Rule requests). Requests must be received by March 30, 2012.
