1. Eligibility: The Dexter Slice of Life Sweepstakes (the “Sweepstakes”) is open to legal residents of the 50 United States and District of Columbia who are 21 years of age or older at the date of entry, before the start of the Promotion Period. Employees, officers, directors (and their immediate families and those living in their same household) of Showtime Networks Inc. (“Sponsor”), Arrowhead Promotion & Fulfillment Co., Inc. (“Administrator”) are not eligible to participate or enter. Void where prohibited. Sweepstakes subject to all applicable federal, state and local laws and regulations.

2. How to Enter: Sweepstakes begins at 12:00:01 a.m. Eastern Time (“ET”) on 9/13/11 and ends at 11:59:59 p.m. ET on 10/14/11 (“Promotion Period”). The Promotion Period will be divided into four (4) Entry Periods, as set forth below:

During the Promotion Period, you can enter the Sweepstakes through the “Dexter Slice of Life” application on the Facebook Platform. You can also find the application by clicking on the Dexter Slice of Life Sweeps tab on the Dexter Page on Facebook at http://www.facebook.com/Dexter (“Website”). Follow the online instructions to complete the registration form to include your e-mail address and submit your entry to receive one (1) entry into the Grand Prize drawing and one (1) entry into the First Prize drawing. Limit one (1) entry per person/email address/Facebook account per day. For the purposes of this Sweepstakes, a “day” shall be defined as 12:00:00 a.m. ET to 11:59:59 p.m. ET.

3. Random Drawing: One (1) First Prize winner will be selected at the end of each Entry Period on the Drawing Date set forth above from among all eligible entries received during the given Entry Period. Non-winning entries will not roll into subsequent Entry Periods and non-winning entries from one Provider will not role into other cable provider drawings. One (1) Grand Prize winner will be selected in a random drawing on or about 10/19/11 from among all eligible entries received for the entire Promotion Period. Drawing will be conducted by the Administrator, an independent judging organization. Winner will be notified by email. The Administrator will make two (2) attempts to contact the potential winner via email and winner has three (3) days to respond to such notification. If Administrator is unable to reach potential winner within this time frame, he/she will be disqualified and an alternate winner will be selected, time permitting. Decisions of the Administrator are final and binding. Odds of winning depend on the number of entries received.

4. Prize and Approximate Retail Value (“ARV”): Grand Prize (1): A trip for winner and one (1) guest to Miami, Florida. Prize includes round-trip, coach class air transportation for winner and one guest from a major commercial airport near winner’s home within the U.S. to Miami, Florida; one (1) double occupancy standard hotel room for three (3) nights; and roundtrip ground transportation between the destination airport and hotel. ARV: $2,500.00. Actual value of trip may vary based on point of departure and airfare fluctuations. Any difference between stated approximate retail value and actual value of Prize will not be awarded. All prize details not specified in the Official Rules will be determined in Sponsor’s sole and absolute discretion. Certain restrictions and black out dates may apply. Selection of airline and hotel are solely within Sponsor’s discretion. Meals, gratuities, luggage fees, incidental hotel charges and any other travel-related expenses not specified herein are the sole responsibility of winner. Trip must be booked by March 31, 2012. Exact travel dates and arrangements subject to availability. Winner and travel guest must travel on same itinerary. Travel guests must sign and return a travel release before any ticketing of travel occurs. Winner and guest must have all necessary identification and/or travel documents (e.g., a valid U.S. driver’s license) required for travel. Once travel guests are selected, they may not be substituted, except in Sponsor's sole and absolute discretion. Airline tickets are non-refundable/non-transferable and are not valid for upgrades and/or frequent flyer miles. All airline tickets are subject to flight variation, work stoppages, and schedule or route changes. If in the judgment of Sponsor, air travel is not required due to winner's proximity to Miami, ground transportation will be substituted for roundtrip air travel at Sponsor's sole and absolute discretion. The difference in value will not be awarded to the Grand Prize winner. Sponsor shall not be responsible for any cancellations, delays, diversions or substitution or any act or omissions whatsoever by the air carriers, hotels, venue operators, transportation companies, prize providers or any other persons providing any Grand Prize-related services or accommodations. Additional prize award details and travel information to be provided to the Grand Prize winner at the time of notification. Grand Prize winner and guests are also responsible for obtaining travel insurance (and all other forms of insurance) at their option and hereby acknowledge that Sponsor has not and will not obtain or provide travel insurance or any other form of insurance. Lost, stolen or damaged airline tickets, travel vouchers or certificates will not be replaced or exchanged.

First Prizes (4 per Provider; 1 per Entry Period): $500* will be paid in the form of a $500 Visa prepaid debit card. Approximate Retail Value (“ARV”): $500 each.

Total ARV of all prizes: $4,500.00. Odds of winning a Grand Prize depend on the number of eligible entries received from for the entire Promotion Period. Odds of winning a First Prize depend on the number of eligible entries received in a given Entry Period. Taxes, if any, on prize are the sole responsibility of the winner. The difference between any stated prize value and actual prize value will not be awarded. Winner is responsible for all taxes and fees associated with prize receipt and/or use. Limit one (1) prize per person/email address/household. Unclaimed prizes will not be awarded. Grand prize winner will be issued an IRS 1099 form for the value of the prize.

5. General Rules: Sponsor and its respective affiliates and agencies are not responsible for lost, late, damaged, delayed, incomplete, illegible, mutilated or misdirected entries, entries not received by the entry deadline, or for electronic, network or computer failures or malfunctions, lost or unavailable network connections, or failed, incomplete, garbled or delayed computer transmission or telephone lines or cellular towers that may limit a user’s ability to participate in this Sweepstakes, or other hardware, software or technical errors of any kind including any injury or damage to any person’s computer or television system related to or resulting from participating in the Sweepstakes. Sponsor reserves the right to cancel or modify the Sweepstakes (or any portion thereof) if fraud, misconduct or technical failures destroy the integrity of the Sweepstakes or if a computer virus, bug, or other technical problem corrupts the administration, security, or proper administration of the Sweepstakes, as determined by Sponsor, in its sole discretion. If the Sweepstakes is so cancelled, judging will be conducted from among all eligible entries received prior to the time of cancellation. Should multiple users of the same e-mail account enter the Sweepstakes and a dispute thereafter arises regarding the identity of the entrant, the authorized account subscriber of said e-mail account at the time of entry will be considered the entrant. “Authorized account subscriber” is defined as the natural person who is assigned an e-mail address by an Internet access provider, on-line service provider or other organization which is responsible for assigning e-mail addresses or the domain associated with the submitted e-mail address. Any use of robotic, automatic, programmed or the like methods of participation will void all entries by such methods. Sponsor reserves the right to prohibit the participation of an individual if fraud or tampering is suspected, or if the individual fails to comply with any requirement of participation as stated herein or with any provision in these Official Rules. No substitution, cash redemption or transfer of prize by Winner permitted, but Sponsor reserves the right to substitute prize of equal or greater value. Potential Winner will be required to sign and return an Affidavit of Eligibility, Liability Release and Publicity Release (where legal) within three (3) days of notification. Non-compliance with this requirement, or if prize/prize notification is returned as non-deliverable, or if Winner is found to be ineligible or not in compliance with these Official Rules, such prize will be forfeited and may be awarded to an alternate winner, time permitting. Winner’s guest must be twenty-one (21) years of age or older and must also sign and return a Release of Liability and Publicity Release prior to awarding of prize. The Sweepstakes is subject to all applicable federal, state and local laws and regulations. Entrants, by participating in this Sweepstakes, hereby waive and release, and agree to hold harmless the Sponsor, its parent, subsidiaries, affiliates, distributors, licensors, advertising and promotion agencies and all of their respective officers, directors, employees and representatives and agents, from and against, any and all rights, claims and causes of action whatsoever that they may have, or which may arise, against any of them for any liability for any matter, cause or thing whatsoever, including but not limited to any injury, loss, damage, whether direct, compensatory, incidental or consequential, to person, including death, and /or property, arising in whole or in part, directly or indirectly, from their acceptance, possession, use or misuse of any prize, or their participation in this Sweepstakes, or any prize-related activity. By participating in this Sweepstakes, entrants agree to be bound by the Official Rules and the decisions of the judges. Except where prohibited by law, by accepting a prize, Winner agrees that Sponsor, and its related and affiliated companies may use the Winner’s name, address (city, state), photograph, videotape, likeness, and/or prize information for advertising, publicity and promotional purposes and to the use of statements made by or attributed to Winner relating to Sponsor, their related and affiliated companies or to this Sweepstakes and grants to Sponsor, and its related and affiliated companies any and all rights to said use without further notice and/or compensation except where prohibited by law. DISPUTES: By participating, each entrant agrees that (1) any and all disputes, claims, and causes of action arising out of or in connection with this Sweepstakes, or any prizes awarded, shall be resolved individually, without resort to any form of class action, and any judicial proceeding shall take place in a federal or state court within the State of New York; (2) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes and in no event will entrant be entitled to receive attorneys' fees or other legal costs; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental, and consequential damages, and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant and Sponsor in connection with this Sweepstakes, shall be governed by, and construed in accordance with the laws of the State of New York, without giving effect to any choice of law or conflict of law rules or provisions (whether of the State of New York or any other jurisdiction), that would cause the application of the laws of any jurisdiction other than the State of New York.

By participating in this Sweepstakes, you acknowledge and agree that Sponsor may collect the personal information submitted by you, and use the information pursuant to Sponsor’s privacy policy available on-line at www.sho.com.
